1. Introduction
These Terms of Service govern your use of consulting services provided by Rafael González ("LoboGuardian"). By engaging our services, you agree to these terms.
2. Scope of Services
LoboGuardian provides freelance consulting services including but not limited to: Full-Stack Development, DevSecOps Implementation, Cloud Architecture, Telecommunications Engineering, Robotics Solutions, and STEAM Education. Specific deliverables and timelines are defined in individual project agreements.
3. Client Obligations
Clients must provide timely access to necessary resources, information, and decision-makers. Delays caused by client unavailability may impact project timelines and deliverables.
4. Payment Terms
Payment schedules are defined per project. Typical terms include: 50% upfront for projects under $5,000; milestone-based payments for larger projects; net-30 payment terms for invoices. Late payments may incur a 1.5% monthly interest charge.
5. Intellectual Property
Upon full payment, clients receive full ownership of custom code and deliverables created specifically for their project. LoboGuardian retains ownership of pre-existing code, frameworks, and methodologies. Open-source libraries remain under their respective licenses.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives the termination of services.
7. Limitation of Liability
LoboGuardian's liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages. Services are provided 'as is' with no warranty beyond professional workmanship.
8. Termination
Either party may terminate with 14 days written notice. Client is responsible for payment of work completed to date of termination. Early termination fees may apply per project agreement.
9. Governing Law
These terms are governed by the laws of Panama. Disputes will be resolved through arbitration before litigation.
